Pre-acquisition audit
The combination of ROOM Avocats skills allows us to conduct comprehensive pre-acquisition audits (corporate, tax, social, contracts, leases, etc), in order to have an overall vision of the target.
Investment documentation
We negotiate the contractual documentation suitable to the preservation of our clients’ interests, in particular ensuring them liquidity mechanisms of their new shares:

- Confidentiality agreements,
- Investment agreements,
- Acquisition contracts,
- Asset and liability guarantees,
- Retrocession agreements and the crucial shareholders agreements.

In the course of these operations we intervene in order to set up complex securities or bond contracts (OBSA, OCAR, mezzanine bond, etc.).
Structuring investment vehicles (FPCI • FIP – SCR)
Parallel to the creation of several funds in recent years (FPCI, FIP, FPS, SCR etc.), ROOM Avocats has developed a complementary service for its management company clients.
